These Terms of Service ("Terms") govern your access to and use of the LIGNAMUSE website, online store, customer accounts, and related services (collectively, the "Services").

The Services are operated by SetSail Commerce LLC, doing business as LIGNAMUSE ("LIGNAMUSE", "we", "us", or "our").

Our online store is powered by Shopify. Shopify provides the ecommerce platform and related technology that enable us to offer the Services, but unless expressly stated otherwise, your purchase of products from LIGNAMUSE is a transaction with SetSail Commerce LLC.

By accessing or using the Services, creating an account, or placing an order, you agree to these Terms and to the policies incorporated into them, including our Privacy Policy, Shipping Policy, and Return & Refund Policy.

If you do not agree to these Terms, you should not use the Services.

1. Eligibility and Customer Accounts

You must have the legal capacity to enter into a binding agreement in your jurisdiction to use the Services or make a purchase.

If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian where permitted by law.

You agree that information you provide to us will be current, complete, and accurate.

If you create or use a customer account, you are responsible for maintaining the security of any credentials or authentication methods associated with that account and for promptly notifying us if you believe your account has been accessed or used without authorization.

We may take reasonable steps to protect accounts, transactions, and the Services where we suspect unauthorized access, fraud, or misuse.

2. Acceptable Use

You may not use the Services:

  • For any unlawful, fraudulent, deceptive, or abusive purpose.

  • To violate intellectual property, privacy, publicity, consumer protection, or other legal rights.

  • To transmit viruses, malware, malicious code, or harmful technology.

  • To submit knowingly false, misleading, or fraudulent information.

  • To circumvent security measures, access restrictions, purchasing limits, or other protections.

  • To scrape, copy, harvest, or systematically extract content or data from the Services without authorization, except as permitted by applicable law.

We may restrict or terminate access to the Services where reasonably necessary in response to material violations of these Terms, fraud, abuse, security concerns, or legal requirements.

3. Products and Natural Variations

We make reasonable efforts to describe and display our products accurately.

However, screen and device settings may affect the appearance of colors, textures, and finishes.

Products made from natural materials, including wood, may show variations in:

  • Grain.

  • Color.

  • Tone.

  • Texture.

  • Knots.

  • Pattern.

  • Small dimensional details.

Where a product is described as handmade, hand-finished, or individually finished, small differences between individual products may also occur.

These normal characteristics and variations are not, by themselves, defects.

This does not affect your rights where a product is damaged, defective, materially different from its description, or otherwise non-conforming under applicable law.

Product availability is not guaranteed. We may modify, discontinue, or limit quantities of products at any time before an order is accepted.

4. Product Information and Pricing

We aim to keep product descriptions, specifications, availability, images, and prices accurate.

Prices are displayed in the currency shown on the store and may change before an order is placed.

Applicable shipping charges, taxes, duties, or other charges will be displayed or described at checkout where applicable.

We reserve the right to correct errors involving:

  • Pricing.

  • Product descriptions.

  • Specifications.

  • Inventory.

  • Promotions.

  • Shipping information.

  • Other store content.

If a material error affects an order you have already placed, we will contact you where reasonably possible and may offer a correction, replacement option, cancellation, or refund as appropriate.

We will not intentionally charge you a price different from the amount you agreed to at checkout without your authorization.

5. Orders and Order Acceptance

Submitting an order is an offer to purchase products from us.

An automated order confirmation or acknowledgement confirms that we received your order but does not necessarily mean that the order has been finally accepted or fulfilled.

We may refuse, limit, or cancel an order for legitimate reasons, including:

  • Suspected fraud or unauthorized payment.

  • Payment failure.

  • Product or inventory errors.

  • Incorrect pricing or listing errors.

  • Shipping restrictions.

  • Legal or regulatory restrictions.

  • Suspected misuse of promotions.

  • Unusual quantities suggesting unauthorized resale.

  • Circumstances that make fulfillment reasonably impossible.

If we cancel an order or item after payment has been collected and the product has not been supplied, we will refund the applicable amount to the original payment method as required by applicable law.

We may contact you to verify information before accepting or fulfilling an order.

6. Payment

You agree to pay all amounts shown and accepted by you at checkout.

You represent that you are authorized to use the payment method submitted for the transaction.

Payments may be processed through Shopify and other payment service providers, banks, card networks, or financial institutions.

Payment providers may apply their own terms, privacy notices, security procedures, fraud checks, and authorization requirements.

A payment authorization does not necessarily guarantee that an order will be accepted or fulfilled.

7. Shipping and Delivery

Our Shipping Policy forms part of these Terms.

Processing times and delivery dates displayed on our website, at checkout, or in shipping communications are estimates unless expressly stated to be guaranteed.

We will make reasonable efforts to process and ship orders within the timeframes communicated to you.

If a material shipping delay occurs, we will provide notice and available options as required by applicable law.

Shipping destinations, methods, prices, and estimated delivery times may vary depending on the product, destination, carrier, and fulfillment circumstances.

Risk of loss, title, delivery obligations, and remedies will be determined in accordance with applicable law and the terms applicable to the transaction.

Nothing in these Terms reduces any mandatory rights you may have regarding delayed, lost, damaged, or undelivered goods.

8. Returns, Refunds, and Cancellations

Our Return & Refund Policy forms part of these Terms.

Eligible returns, refunds, exchanges, damaged-product claims, and order cancellations will be handled in accordance with that policy and applicable law.

Any voluntary return policy we offer is in addition to, and does not replace, mandatory consumer rights that may apply where you live.

If there is a conflict between these Terms and our Return & Refund Policy regarding a specific return or refund procedure, the Return & Refund Policy will govern unless applicable law requires otherwise.

9. Intellectual Property

The Services may contain text, photographs, graphics, logos, branding, layouts, product presentation, designs, software, code, and other materials.

To the extent owned by or licensed to us, these materials are protected by applicable intellectual property laws.

LIGNAMUSE branding and original content created by or for us may not be copied, reproduced, distributed, modified, commercially exploited, or used in a manner that falsely suggests affiliation with or endorsement by us without authorization, except where permitted by applicable law.

Certain technology, software, themes, applications, trademarks, photographs, product materials, or other content may belong to Shopify, suppliers, licensors, or other third parties. Ownership of those materials remains with the applicable rights holder.

Your use of the Services does not transfer ownership of any intellectual property to you.

You may access and use the Services for personal, lawful, non-commercial shopping purposes.

10. Reviews and User-Submitted Content

If you submit a product review, photograph, comment, message, suggestion, or other content to us, you represent that:

  • You have the right to submit it.

  • It does not knowingly infringe another person's rights.

  • It is not intentionally false, fraudulent, unlawful, or malicious.

You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt, and use submitted content as reasonably necessary to operate, improve, market, and promote the Services and our products, subject to applicable law and our Privacy Policy.

You retain any ownership rights you otherwise have in your submitted content.

We may remove or decline to display content that we reasonably believe is:

  • Unlawful.

  • Infringing.

  • Fraudulent or deceptive.

  • Abusive or threatening.

  • Spam.

  • Irrelevant.

  • In violation of these Terms.

We are not required to publish every submission.

11. Third-Party Services and Links

The Services may contain or rely on third-party:

  • Links.

  • Other technologies.

Third-party services may be governed by their own terms and privacy policies.

The inclusion of a third-party link or integration does not necessarily mean that we endorse that third party.

Shopify and other service providers may also process personal information in connection with the Services under their own applicable privacy notices and legal obligations.

13. Service Availability and Disclaimers

We make reasonable efforts to operate and maintain the Services, but we do not guarantee that the website or all features will always be available, uninterrupted, secure, or error-free.

The Services may occasionally be interrupted because of:

  • Maintenance.

  • Technical failures.

  • Third-party outages.

  • Security issues.

  • Internet or network problems.

  • Events outside our reasonable control.

To the fullest extent permitted by applicable law, the Services are provided on an "as available" basis.

Nothing in these Terms excludes, limits, or disclaims any warranty, guarantee, remedy, or consumer right that cannot lawfully be excluded or limited.

Product-specific warranties, if any, will be described separately.

14. Limitation of Liability

To the fullest extent permitted by applicable law, LIGNAMUSE, SetSail Commerce LLC, and our applicable service providers, contractors, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from your use of the Services where such losses may lawfully be excluded.

This may include loss of profits, business opportunities, revenue, or data where legally permitted.

Nothing in these Terms excludes or limits liability to the extent that it cannot legally be excluded or limited, including liability that applicable law does not permit us to disclaim.

These limitations do not apply to the extent prohibited by law, including where applicable in cases involving:

  • Fraud.

  • Fraudulent misrepresentation.

  • Willful misconduct.

  • Death or personal injury caused by negligence.

  • Mandatory product liability.

  • Mandatory consumer rights.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold SetSail Commerce LLC and LIGNAMUSE harmless from third-party claims, damages, liabilities, and reasonable costs arising directly from:

  • Your unlawful use of the Services.

  • Your material breach of these Terms.

  • Your intentional infringement of another person's legal rights.

This obligation does not apply to the extent that a claim results from our own negligence, misconduct, breach, or legal responsibility.

Nothing in this section limits any protection available to consumers under applicable law.

16. Suspension and Termination

We may suspend, restrict, or terminate access to all or part of the Services where reasonably necessary because of:

  • Material breach of these Terms.

  • Fraud or suspected fraud.

  • Abuse.

  • Security threats.

  • Legal requirements.

  • Conduct that materially harms the Services or other users.

Termination of access does not eliminate rights or obligations that arose before termination.

Provisions that by their nature should continue after termination will remain effective.

17. Changes to the Services and These Terms

We may update the Services or these Terms from time to time for operational, commercial, technical, security, legal, or regulatory reasons.

When we update these Terms, we will post the revised version and update the "Last updated" date.

Changes will apply prospectively unless applicable law permits or requires otherwise.

Changes to these Terms will not retroactively remove mandatory rights that already apply to a completed purchase.

Where legally required, we will provide additional notice of material changes.

18. Severability, Waiver, and Entire Agreement

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

Our failure to enforce a provision on one occasion does not waive our right to enforce it later.

These Terms, together with the policies expressly incorporated into them, form the agreement governing your use of the Services and purchases from us, subject to any mandatory rights that apply under law.

19. Governing Law and Disputes

To the extent permitted by applicable law, these Terms and disputes arising from them are governed by the laws of the State of Wyoming, United States, together with applicable federal law, without giving effect to conflict-of-law principles that would require the application of another jurisdiction's law.

However, if you are a consumer, this choice of law does not deprive you of any mandatory consumer protections, remedies, or rights that apply under the laws of your place of residence.

Nothing in these Terms requires a consumer to waive access to a court, tribunal, regulator, or dispute-resolution process that cannot lawfully be waived.

Before beginning formal legal proceedings, we encourage you to contact us so that we can attempt to resolve the issue informally.

Nothing in this section prevents either party from seeking urgent or other relief available under applicable law.
